The Contracts (Rights of Third Parties) Act 1999 is amended as follows.

In section 6 (exceptions)—
a
in subsection (2)
(memorandum and articles of company), for “section 14 of the Companies Act 1985” substitute “
section 33 of the Companies Act 2006 (effect of company's constitution)
”

b
in subsection (2A) M1
(constitution of limited liability partnership) for the words from “or any limited liability partnership agreement” to the end substitute “
or any agreement (express or implied) between the members of a limited liability partnership, or between a limited liability partnership and its members, that determines the mutual rights and duties of the members and their rights and duties in relation to the limited liability partnership.
”
