179.—(1) The Contracts (Rights of Third Parties) Act 1999 is amended as follows.
(2) In section 6 (exceptions)—
(a)in subsection (2) (memorandum and articles of company), for “section 14 of the Companies Act 1985” substitute “ section 33 of the Companies Act 2006 (effect of company's constitution) ”;
(b)in subsection (2A) M1 (constitution of limited liability partnership) for the words from “or any limited liability partnership agreement” to the end substitute “ or any agreement (express or implied) between the members of a limited liability partnership, or between a limited liability partnership and its members, that determines the mutual rights and duties of the members and their rights and duties in relation to the limited liability partnership. ”.
(3) In section 9(application to Northern Ireland), omit subsection (2).
